1. Acceptance of Terms

These Terms of Use ("Terms") are a binding agreement between you ("you") and Ignite Clinical Institute LLC ("Ignite," "we," "us") governing your access to our website, courses, and membership programs (the "Services"), hosted on the Thinkific platform. By creating an account, enrolling in a course, or purchasing a membership, you agree to these Terms and our Privacy Policy.

2. Description of Services

Ignite provides online courses and membership programs (the "Courses") related to clinical and professional education. Offerings, pricing, and features may change at any time without notice.

3. Account Registration and Security

You must register for an account to access most Courses, using accurate and current information. You are responsible for all activity under your account and for keeping your login credentials confidential. Accounts are personal and may not be shared.

4. Course Purchases

Course fees are as listed at the time of purchase, in U.S. dollars, and processed by Thinkific and its payment processors. Upon payment, you receive a limited, non-transferable license to access the Course as described in Section 8. We may correct pricing errors and limit availability.

5. Memberships and Recurring Billing

Memberships renew automatically and bill on a recurring basis (monthly or annual, as selected at signup) until cancelled. By enrolling, you authorize us to charge your payment method each billing period at the then-current price plus applicable taxes.

You may cancel anytime in your account settings or by emailing [email protected]. Cancellation stops future renewals but does not end your current, already-paid period — you keep access through the end of that period. We'll give advance notice before any price increase; continuing your membership after that notice means you accept the new price.

6. Refunds and Cancellations

Courses: refundable within 14 days of purchase if you've completed less than 20% of the content and haven't claimed a certificate or CE credit. Requests outside this window are granted at our discretion.

Memberships: fees are non-refundable for any partial billing period. Cancelling stops future charges but does not refund the current period.

7. Educational Use Only; No Guaranteed CE Credit

The Courses are for general educational and professional-development purposes only and are not medical, clinical, legal, or other professional advice, nor a substitute for independent clinical judgment. Where a Course is advertised as offering continuing education (CE) credit, that credit has been approved in Texas and in any other state whose licensing board offers reciprocity with the Texas-approving board for the Course in question. If your state does not offer such reciprocity, you may be responsible for submitting the Course to your own state's licensing or certifying board for approval. We do not guarantee that any board will accept a Course for credit, relicensure, or recertification purposes.

8. Intellectual Property

All Course content — videos, text, materials, and the Ignite name and logo — is owned by Ignite or its licensors. Purchasing a Course grants a limited, non-exclusive, non-transferable, revocable license to access it for personal, non-commercial use. You agree not to:

Copy, reproduce, distribute, resell, or publicly display Course content;
Share your account or login credentials;
Download or record content except where an explicit download feature is provided; or
Use Course content to build a competing product.

We may revoke access and pursue legal remedies for violations.

9. User Conduct

You agree not to violate any law, harass other students or staff, upload malicious code, misrepresent your identity, or attempt unauthorized access to any account or system connected to the Services. We may suspend or terminate access for violations, without refund.

10. Thinkific Platform

The Services run on Thinkific Labs Inc.'s platform, which provides hosting, accounts, and payment infrastructure. Thinkific is not a party to these Terms and isn't responsible for Ignite's Courses, content, or policies; your use of the platform is also subject to Thinkific's own terms and privacy policy.

11. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND, AND WE DO NOT GUARANTEE UNINTERRUPTED, ERROR-FREE ACCESS OR ANY PARTICULAR CERTIFICATION, EMPLOYMENT, OR PROFESSIONAL OUTCOME.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IGNITE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, AND OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

12. Indemnification

You agree to indemnify and hold Ignite harmless from claims, damages, and expenses (including attorneys' fees) arising from your use of the Services or violation of these Terms.

13. Termination

We may suspend or terminate your account at any time, with or without cause. Sections that by their nature should survive termination (including Sections 6, 7, 8, 11, and 15) will survive.

14. Privacy and Changes to These Terms

Our collection and use of personal information is described in our Privacy Policy, incorporated here by reference. We may update these Terms from time to time by posting the revised version here; continued use of the Services after changes take effect means you accept them.

15. Governing Law and Contact

These Terms are governed by the laws of the State of Texas. Disputes will be brought exclusively in the state or federal courts located in Harris County, Texas.
